Latitude is seeking a Corporate Paralegal for an exciting full-time permanent opportunity at a real estate development and investment company located in the suburbs of Philadelphia, PA. Applicants should have at least 7-10 years of experience as a corporate paralegal; experience in real estate transactions is required. The paralegal will be responsible for providing legal support to the General Counsel and legal department for all documents and matters related to acquisitions, dispositions joint ventures, leasing, financing, corporate and legal compliance, litigation support and other operational matters. Successful candidates will have excellent organizational skills and great attention to detail, as well as exceptional analytical, critical thinking, and research skills.

Responsibilities of the Corporate Paralegal:
  • Contract review and management to include abstracts of leases, amendments, extensions and renewals
  • Maintain corporate books and records, licensure, foreign qualifications, corporate formation and organizational documents
  • Prepare, review, record, and update deal documents as directed by General Counsel
  • Coordinate due diligence with the General Counsel and acquisitions and development teams
  • Track deadlines for all deals utilizing Smart Sheet software and provide document support for real estate business
  • Coordinate with title company and third parties
  • Facilitate closing for all real estate and corporate transactions
  • Execution and delivery of all deal documents
  • Maintain closing binders following all transactions
  • Develop post-closing legal compliance lists for property/JV operations and track the same to ensure compliance
  • Oversee and process title matters for real estate transactions
  • Review, prepare and redline documents for General Counsel as needed (i.e., lease forms and related documents, forms of operating agreements, contracts, etc.)
  • Draft and revise term sheets, letters of intent, agreements of sale, lease, deeds, easements and rights of way, declarations, covenants, legal descriptions, appraisals, promissory notes, mortgages and mortgage modifications, releases, recordable site and plat plans, property management agreements, and subordination, non-disturbance, and attornment agreements
  • Independent and directed resolution of emergent issues relating to the real estate acquisition, development, and disposition process. Quality Assurance and Quality Control of the administration of transactional due diligence activities such as title insurance issue resolution, survey documentation, real estate tax assessment appeals, and similar
  • Research and analyze applicable statutes, regulations, legal articles, judicial decisions and other legal documents as requested by the General Counsel, and provides written analyses of same to the General Counsel
  • Prepare, organize and store litigation case files, exhibits, and other items
  • Assist in discovery and document production in litigation matters
  • Assist General Counsel with hearing preparation and other court appearances
  • Conduct research on legal and corporate governance issues
  • Communicate with outside counsel, including legal staff
  • Track litigation deadlines and court dates
  • Maintain and update company organization and signatory charts
  • Prepare resolutions, minutes for board of directors and shareholder meetings and actions
  • Prepare organizational and qualification documents, including operating and partnership agreement for all entities, obtaining EIN’s business licenses or dbas
  • Monitor and file annual reports, compliance filings and homebuilder registrations
  • Support Human Resources in employee-related legal matters
Requirements for the Corporate Paralegal:
  • 7-10 years of paralegal experience; experience in real estate transactions required
  • Bachelor’s degree and a certificate in paralegal studies
  • Understanding of legal language and principles, research methods and other related matters
  • Proficient in Microsoft Office Suite, expertise in Word, Excel, PowerPoint, Smart Sheet, Share Point and DocuSign
  • Analytical, critical thinking and research skills
  • Confidentiality, and ability to exercise discretion and good judgment
  • Outstanding planning and organizational skills
  • High level of accuracy and attention to detail
  • Outstanding references
