General Counsel (Hybrid – Palo Alto)
Our client, a leading AI technology company specializing in providing cutting-edge solutions and services to national security and defense sectors in the federal government, is seeking a strategic and results-driven General Counsel. Reporting to the CEO, the General Counsel will oversee and manage all legal matters for the company and will play a pivotal role in facilitating the future growth of the company. This role requires a deep understanding of national security and defense, government contracting, intellectual property, corporate governance, regulatory compliance, and contract law. The ideal candidate will possess strategic thinking and outstanding problem-solving abilities, helping leadership to drive customer growth through strategic planning for business expansion and new ventures in the US and internationally.

Must be enthusiastic about the law and policy of defense technology or national security, and you should have an independent interest in the key issues in this field. This is a high-visibility and high-impact role in which the General Counsel is expected to participate in and influence business decisions across the organization.

In this role, you will:
  • Ensure the company's compliance with relevant laws and regulations, especially with laws, regulations and policies pertaining to doing business in the national security and defense sectors of the federal government.
  • Experience working with the FAR (Federal Acquisition Regulation) and other relevant federal statutes and regulations and be able to monitor and assess the impact of regulatory changes on the company's operations.
  • Develop and implement policies and procedures to ensure legal compliance and mitigate risk across the company.
  • Prepare and submit regulatory filings and other required documents.
  • Develop and implement the company's overall legal strategy in alignment with its business objectives, providing legal counsel on various business facets, from negotiating licenses and service agreements to enhancing the supply chain, advising on product development, and supporting international growth.
  • Provide legal advice and support to executive management on corporate governance matters, including corporate policies and compliance issues.
  • Draft, review, and negotiate a variety of commercial and IT contracts.
  • Manage export control compliance.
  • Provide strategic legal guidance in support of the company’s international expansion initiatives.
  • Manage and oversee all aspects of corporate transactions.
  • Advise on intellectual property matters and ensure the protection of company assets.
  • Collaborate with cross-functional teams to assess and mitigate legal risks associated with business initiatives and strategic partnerships.
  • Oversee disputes, litigation, and other legal proceedings, including managing outside counsel when necessary.
  • Other duties as assigned.
Minimum Requirements for the General Counsel (Hybrid - Palo Alto):
  • Extensive experience providing legal advice with respect to business with the Federal Defense & National Security focused areas of the Federal Government.
  • Extensive experience drafting, reviewing, and negotiating complex commercial and SaaS sales and partner agreements with public sector customers, including a working knowledge of EAR, ITAR, FAR, DFAR rules and statutes, and other regulatory certifications and attestations.
  • Experience interfacing with appropriate US government departments and agencies with regard to US export compliance and trade compliance; prepare, review and/or file all requests, applications and disclosures relating to US export and trade compliance, including, without limitation, license applications, technical assistance agreements, and voluntary disclosure reports.
  • Proven track record of success in government contracting, with experience developing and executing strategies for federal and international government clients.
  • Have experience working on setting up international subsidiaries and working on international deals.
  • Must be eligible to obtain and maintain a security clearance, which includes a thorough background check and adherence to all federal regulations.
Competencies and Skills.
  • JD from a top US law school and active bar membership in good standing.
  • Extensive experience in legal roles within the technology industry.
  • Excellent communication, interpersonal, and leadership skills.
  • Strong understanding of contract law, corporate law, and relevant regulatory frameworks, with the ability to apply legal principles to real-world business scenarios.
  • Excellent drafting and editing skills, with meticulous attention to detail and the ability to communicate complex legal concepts clearly and effectively.
  • Proven ability to manage multiple projects simultaneously, prioritize tasks, and meet deadlines in a fast-paced, dynamic environment.
  • Strong interpersonal and communication skills, with the ability to build rapport and collaborate effectively with colleagues at all levels of the organization.
  • Proven ability to work collaboratively with cross-functional teams and provide strategic guidance to senior management.
  • Comfort working in a fast-paced technology-centric environment.
  • Must embody a calm demeanor and have demonstrated ability to handle sensitive situations with discretion and care.
  • Experience across all these areas is not expected, but a willingness to learn and adapt is.
  • In-house experience with a defense contractor highly preferred.
Position Details of the General Counsel (Hybrid - Paolo Alto):
  • Type of role: Permanent Placement
  • Schedule: Full-Time
  • Location: Hybrid (2-3 days a week at the company’s Palo Alto office)
  • Compensation: The salary range for this role is $300,000 to $350,000+. Pay is based on multiple factors including, but not limited to, work experience, qualifications, credentials, and location.
