Wealth Management/Investment Funds Fractional General Counsel (California or Nevada)

Latitude is seeking an experienced attorney to provide strategic legal guidance as a fractional general counsel for its wealth management client located in Orange County, on a part-time engagement/contract basis. The ideal candidate will provide comprehensive legal support and guidance to our wealth management client, ensuring compliance with all applicable laws and regulations, and managing legal risks. This role involves advising on a broad range of legal matters, including investment management, compliance, corporate governance, and client relations.

Responsibilities:
As the fractional general counsel, you will:

Provide legal advice on matters related to the Investment Company Act and Investment Advisers Act, and on all matters related to wealth management.
Draft, review, and negotiate a wide range of legal documents, including client agreements, contracts, and crucial fund documents for various funds.
Ensuring the company's practices comply with applicable federal, state, and industry regulations. Interpret existing and proposed laws, rules, and regulations, and advise on applicable changes.
Help oversee and manage the company's legal functions, including compliance, regulatory issues, contracts, and litigation.
Ensure the company’s operations comply with relevant laws and regulations, including securities laws and regulations from financial authorities.
Support the company’s business development initiatives by providing legal insights and structuring transactions.
Oversee compliance programs and ensure effective policies and procedures are in place.
Providing practical and timely legal advice, guidance and support on a range of matters relevant to the company’s business, including long-term projects and day-to-day matters.
Provide counsel in connection with new business and product initiatives

Assist with corporate matters and work on projects outside of normal responsibilities and adapt as needed.

Qualifications:

Juris doctor (JD) degree from an accredited law school
Bar membership that is active and in good standing
Located in California or Nevada. High preference for candidate located in Orange County, California.
5+ years of practicing law, preferably at a law firm, financial institution, government agency, regulator and/or self-regulatory organization, with securities industry experience
Knowledge of the Investment Advisors Act of 1940 and its related rules and regulations, federal and state securities laws, and the investment advisor business is preferred but not required
Some familiarity with private funds and the Investment Company Act of 1940 is preferred
Prior in-house experience helpful, but not required
Strong analytical skills, as well as excellent writing and verbal communication skills
Team player and a desire to collaborate with others in a dynamic environment
Ability to organize, prioritize, manage multiple tasks, and keep the team apprised of status
Agility in a rapidly changing and fast-paced business environment

Position Details of Wealth Management/Investment Funds Fractional General Counsel (California or Nevada):

Type of role: Engagement/Contract basis
Schedule: Part-Time
Location: California or Nevada. Hybrid basis highly preferred (at the company’s Newport Beach office as needed).
Compensation: The annualized pay for this position ranges from $175,000 to $225,000+ or more when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
Benefits: In addition to pay, all Latitude Attorneys and other legal professionals working on contract engagements receive complimentary professional liability insurance coverage. All Latitude employees (including those on contract engagements) are also eligible for full benefits when working 20+ hours per week, including group medical, dental, and vision insurance, and complimentary group life, LTD and AD&D insurance. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
