M&A Attorney (Remote / Full Time In-House Contract) 

Latitude has an incredible opportunity for an accomplished M&A attorney with at least 8 years of experience at an AmLaw 200 firm or a highly sophisticated corporate boutique firm to join a dynamic legal department.  This is  a full-time remote contract engagement to work closely with the Division GC/Head of M&A of a global conglomerate and supporting the company’s active M&A transactions, corporate reorganizations, divestitures and other corporate governance matters.  The successful candidate must have exceptional skills drafting strategic and complex M&A and corporate documents, in addition to providing legal counsel on domestic and cross-border transactions, commercial contracts, and corporate governance matters across a diverse portfolio of manufacturing and technology companies.    Successful candidates must have the capacity to step in and hit the ground running, working effectively both collaboratively and independently.  

Basic Requirements for M&A Attorney (Remote / Full Time In-House Contract) :
  • 8+ years of M&A and corporate transactional experience at a top U.S. law firm or sophisticated M&A boutique firm 
  • Experience advising on legal issues related to M&A tranactions, including cross-border deals, such as antitrust issues, foreign direct investment analysis, Hart-Scott-Rodino antitrust filings, etc.
  • Significant experience drafting and negotiating a large volume and broad range of corporate and commercial agreements 
  • Proven experience handling domestic and cross-border deals, working collaboratively with multicultural teams
  • In-House experience is a plus, but not required
  • Excellent academic credentials from an ABA-accredited law school
  • Excellent analytical, written, verbal and interpersonal skills
  • Licensed and in good standing in the state of residence (or eligible for in-house exemption) 
  • Outstanding professional references
Position Details of M&A Attorney (Remote / Full Time In-House Contract):
  • Type of role: Contract Engagement (potential to convert to permanent position)
  • Schedule: Full-time
  • Term:  Initial term of 6 - 9 months, potentially extending on an ongoing basis
  • Location: Remote (preference for EST time zone, but not required)
  • Timing: Need is immediate 
Compensation:
  • Pay: The annualized pay for this position ranges from $170,000 to $195,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
  • Benefits: In addition to pay, all Latitude Attorneys and other legal professionals working on contract engagements receive complimentary professional liability insurance coverage. All Latitude employees (including those on contract engagements) are also eligible for full benefits when working 20+ hours per week, including group medical, dental, and vision insurance, and complimentary group life, LTD and AD&D insurance. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
