Our client, a technology enabled commercial property and casualty insurance company, is looking for an experienced Fractional General Counsel to join their team on an engagement basis. This role is instrumental in shaping the company's future growth by providing high-level legal expertise and strategic counsel.

As a Fractional General Counsel, you will be responsible for ensuring the company operates within the bounds of applicable laws and regulations while proactively managing legal risks. You will serve as a trusted advisor to the executive leadership team, offering guidance on corporate governance, compliance, and risk mitigation strategies. A key aspect of this role involves navigating the complexities of the insurance industry's regulatory landscape, structuring and negotiating critical agreements, and addressing legal challenges that may arise.

Additionally, this position plays a vital role in supporting the company’s expansion initiatives—from entering new markets to developing innovative business strategies. By leveraging legal acumen to align with business objectives, the Fractional General Counsel will help the company seize new opportunities, strengthen its market position, and foster long-term sustainable growth.

In this role, you will:
  • Ensure the company's compliance with relevant laws and regulations.
  • Monitor and assess the impact of regulatory changes on the company's operations, providing timely guidance on compliance issues affecting the company to internal stakeholders.
  • Develop and implement policies and procedures to ensure legal compliance and mitigate risk across the company.
  • Prepare and submit regulatory filings and other required documents.
  • Develop and implement the company's overall legal strategy in alignment with its business objectives.
  • Provide legal advice and support to executive management on corporate governance matters, including corporate policies and compliance issues.
  • Draft, review, and negotiate a variety of commercial contracts.
  • Manage and oversee all aspects of corporate transactions.
  • Advise on intellectual property matters and ensure the protection of company assets.
  • Collaborate with cross-functional teams to assess and mitigate legal risks associated with business initiatives and strategic partnerships.
  • Handle disputes, litigation, and other legal proceedings, including managing outside counsel when necessary.
  • Other duties as assigned.
Minimum Requirements for the Fractional General Counsel (Remote):
  • Must be a graduate from an accredited law school.
  • Must be an active member in good standing with at least one U.S. state bar.
  • Minimum of 8-10 years of legal experience, with significant exposure to insurance regulations, compliance, and corporate governance.
  • Prior experience serving as senior in-house counsel, preferably within the insurance or financial services sector.
  • Strong knowledge of insurance laws and regulations, including state insurance departments’ requirements, and federal compliance obligations.
  • Proven ability to negotiate, draft, and review a wide range of legal agreements, including IT contracts, vendor contracts, partnership agreements, and policy-related documents.
  • Experience advising executive leadership on legal risks, corporate governance best practices, and strategies to mitigate potential liabilities.
  • Understanding of legal frameworks related to expansion into new markets, mergers & acquisitions, and partnerships.
  • Ability to align legal strategy with business objectives and provide practical, solutions-oriented legal advice.
  • Ability to communicate complex legal concepts to non-legal stakeholders, including executives, board members, and operational teams.
  • Must be comfortable working in a part-time, contract, or consulting capacity, providing legal services on an as-needed basis.
  • Familiarity with legal technology tools, contract management software, and industry-specific compliance platforms.

Compensation
The annualized compensation for this position on a full-time basis ranges from $225,000 to $275,000 or more. Pay is based on numerous factors including but not limited to work experience, qualifications, credentials and location. In addition to salary, Latitude Engaged Professionals are W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week, including a Qualified 401k plan. Benefits-eligible Latitude employees receive complimentary Group Life, LTD and AD&D and professional liability insurance. Latitude Attorneys also receive a CLE and Professional Expense stipend.
