Latitude is seeking an experienced Tax Counsel to support one of our premier global law firm clients on an engagement basis in advising their corporate clients on a wide range of U.S. federal tax matters. This role will focus on providing strategic tax guidance in connection with corporate structuring, mergers and acquisitions, complex financing transactions, and LLC and partnership-related matters. The attorney will play a critical role in identifying, analyzing, and advising on tax implications embedded in sophisticated domestic and cross-border transactions, including Delaware flips, equity reorganizations, and multi-entity partnership structures.

Key Responsibilities:
  • Provide practical, business-oriented U.S. federal tax guidance on:
    • Delaware flips and cross-border restructurings
    • Mergers & acquisitions (stock and asset sales)
    • Complex financing transactions
    • LLC and partnership formations, conversions, and internal reorganizations
  • Review and advise on tax provisions in transactional agreements, including purchase agreements, operating agreements, and financing documents
  • Identify and mitigate potential tax risks across transactions
  • Coordinate with external tax advisors, accountants, and other stakeholders as needed
  • Stay current on U.S. tax law developments relevant to clients' transactional activity
 Requirements for Tax Counsel - Transactional & Corporate Tax (Part-Time, Remote)
  • 10+ years of legal experience with a strong focus on U.S. federal tax law, including corporate structuring, M&A transactions, financing arrangements, and LLC/partnership taxation
  • Demonstrated ability to advise on tax implications of Delaware flips, equity reorganizations, and complex cross-border and domestic transactions
  • Experience reviewing and drafting tax-related provisions in transactional agreements, including purchase agreements, operating agreements, and financing documents
  • Excellent analytical, drafting, and communication skills with the ability to translate complex tax issues into practical guidance
  • Proven track record of collaborating with legal, finance, and business teams in fast-paced, deal-driven environments
  • J.D. from an accredited law school
  • Active bar license in good standing (any U.S. jurisdiction; New York or D.C. preferred but not required)
  • Prior experience at a leading law firm, tax boutique, or in-house legal department with exposure to sophisticated transactional matters
  • Outstanding professional references demonstrating expertise, reliability, and sound client judgment

Compensation: 
Pay: The annualized pay for this position on a full time basis ranges from $225,000 to $275,000 or more when calculated on a full-time basis. Pay for contract roles is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).

Benefits: In addition to pay, all Latitude contract professionals receive complimentary professional liability insurance coverage. Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude contract professionals receive complimentary Group Life, LTD and AD&D. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
