Senior Corporate and M&A Attorney (Remote/In-House Full-Time Counsel)
Latitude has a unique opportunity for an accomplished corporate and M&A attorney to join the dynamic legal department of a global conglomerate, working closely with the Division GC/Head of M&A supporting the company’s active M&A transactions, corporate reorganizations, divestitures and other corporate governance matters. In addition, you’ll be the primary attorney advising on corporate legal matters and handling drafting and negotiation of a wide range of complex commercial agreements for two significant subsidiaries. Successful candidates must have the capacity to step in and hit the ground running, to work effectively both collaboratively and independently, be detail-oriented, proactively driving transactions as needed, with strong writing skills to efficiently and consistently communicate among team members. This is a fully remote contract position (preference for EST), with the potential to convert to a permanent position.
Basic Requirements for Senior Corporate and M&A Attorney (Remote/In-House Full-Time Counsel):
12+ years of M&A and corporate transactional experience both at a top U.S. law firm or sophisticated M&A boutique firm and In-House, preferably with a multinational company
Experience advising on legal issues related to M&A transactions, including cross-border deals, such as antitrust issues, foreign direct investment analysis, Hart-Scott-Rodino antitrust filings, etc.
Significant experience drafting and negotiating a large volume and broad range of M&A-related corporate and commercial agreements, as well as complex and strategic commercial manufacturing, distribution, and other operational agreements for the subsidiaries
Proven experience handling domestic and cross-border deals, working collaboratively with multicultural teams
Detail-oriented, organized, and proactive to ensure transactions progress within tight timeframes
Excellent analytical, written, verbal and interpersonal skills
Excellent academic credentials from an ABA-accredited law school
Licensed and in good standing in the state of residence (or eligible for in-house exemption)

Position Details of Senior Corporate and M&A Attorney (Remote/In-House Full-Time Counsel):
Type of role: Contract In-House Counsel Engagement with potential to convert to permanent position
Schedule: Full-time
Term: Initial term of 6 - 9 months, potentially extending on an ongoing basis
Location: Remote (preference for EST time zone)
Timing: Need is immediate
Compensation:
Pay: The annualized pay for this position ranges from $175,000 to $195,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
Benefits: In addition to pay, all Latitude Attorneys and other legal professionals working on contract engagements receive complimentary professional liability insurance coverage. All Latitude employees (including those on contract engagements) are also eligible for full benefits when working 20+ hours per week, including group medical, dental, and vision insurance, and complimentary group life, LTD and AD&D insurance. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
